BROOKFIELD ASSET MANAGEMENT ANNOUNCES PRICING OF US$650 MILLION 3.900% NOTES DUE JANUARY 25, 2028 AND US$350 MILLION RE-OPENING OF 4.700% NOTES DUE SEPTEMBER 20, 2047

Brookfield Asset Management Inc. has priced its previously announced public offering of notes due 2028 and reopening of notes due 2047. The size of the offering of 2028 notes was increased from $500-million (U.S.) to $650-million (U.S.), and the offering of additional 2047 notes was increased from $250-million (U.S.) to $350-million (U.S.).

The 2028 notes will have a coupon of 3.9 per cent and will be issued at a price equal to 99.654 per cent of their face value for an effective yield of 3.942 per cent.

The additional 2047 notes will form the same series as the already outstanding $550-million (U.S.) principal amount of 4.7 per cent notes due 2047, which were issued on Sept. 14, 2017. The terms of the additional 2047 notes will be identical to the existing 2047 notes, other than the issue date and issue price. The additional 2047 notes will be issued at a price equal to 101.963 per cent of their face value plus accrued and unpaid interest from the original issuance date of Sept. 14, 2017, to, but excluding, the date of delivery of such notes, with an effective yield of 4.577 per cent, if held to maturity. An aggregate principal amount of $900-million (U.S.) of 4.7 per cent notes due 2047 will be outstanding after giving effect to this offering.

The notes will be issued by Brookfield Finance Inc., a 100-per-cent-owned subsidiary of Brookfield, and will be fully and unconditionally guaranteed by Brookfield. The net proceeds of the offering will be used for general corporate purposes. The offering is expected to close on or about Jan. 17, 2018.

The notes will be offered under Brookfield Finance Inc.'s existing base-shelf prospectus filed in the United States and Canada. In the United States, the notes are being offered pursuant to an effective registration statement filed with the U.S. Securities and Exchange Commission on Sept. 29, 2017. The offering will be made only by means of a prospectus supplement relating to the offering of the notes. You may obtain these documents for free on EDGAR or on SEDAR.
