The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 19, 2016.

Number of shares:  five million flow-through shares

Purchase price:  65 cents per share

Number of placees:  13 placees

Finder's fee:  Secutor Capital Management Corp. will receive a 6-per-cent finder's fee of $191,100 plus an additional $3,200 in related fees.

Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the company issued a news release announcing the closing of the private placement and setting out the expiry dates of the hold period(s).
