ATAC RESOURCES LTD. PROVIDES CORPORATE UPDATE

Atac Resources Ltd. has released the following voting results from its June 24, 2014, annual general and special meeting:

  1. The number of company directors was fixed at six.
  2. The following individuals were elected as directors (each of whom was an incumbent): Robert C. Carne, Douglas O. Goss, Bruce J. Kenway, Helmut H. Wober, Glenn R. Yeadon and Bruce A. Youngman.
  3. Davidson & Company LLP was reappointed as auditor for the ensuing year.
  4. The renewal of the company's stock option plan was approved.
  5. A new shareholder rights plan was approved.
  6. The special resolution to amend the articles to include an advance notice provision for the nomination of directors was not approved as the resolution did not receive the required 66.67-per-cent support of the votes cast at the meeting.

In light of the voting results from the June 24, 2014, shareholder meeting and in the best interest of all company shareholders, the board of directors readopted the advance notice policy as originally announced in the company's May 31, 2013, news release. The policy as readopted became effective as of June 24, 2014, and will be subject to shareholder ratification at the company's 2015 annual general meeting.

The policy, among other things, includes a provision that requires advance notice to the company in circumstances where nominations of persons for election to the board of directors are made by the shareholders of the company other than pursuant to: a requisition of a meeting made pursuant to the provisions of the Business Corporations Act (British Columbia); or a shareholder proposal made pursuant to the provisions of the act.

The policy fixes a deadline by which holders of record of common shares of the company must submit director nominations to the company prior to any annual or special meeting of shareholders and sets forth the information that a shareholder must include in the notice to the company for the notice to be in proper written form.

In the case of an annual meeting of shareholders, notice to the company must be made not less than 30 days and not more than 65 days prior to the date of the annual meeting. If the annual meeting is to be held on a date that is less than 50 days after the date on which the first public announcement of the date of the annual meeting was made, notice may be made not later than the close of business on the 10th day following such public announcement.

In the case of a special meeting of shareholders (which is not also an annual meeting), notice to the company must be made not later than the close of business on the 15th day following the day on which the first public announcement of the date of the special meeting was made.
