The TSX Venture Exchange has accepted for filing documentation with respect to the fourth and final tranche a non-brokered private placement for Arian Resources Corp. announced Jan. 30, 2014, Feb. 3, 2014, and Feb. 7, 2014:

Number of shares:  728,167 shares

Purchase price:  15 cents per share

Warrants:  728,167 share purchase warrants to purchase 728,167 shares

Warrant exercise price:  25 cents for a two-year period; the warrants are subject to an accelerated exercise provision in the event the company's shares trade at or above a volume-weighted average trading price of 40 cents per share for 10 consecutive trading days

Placees:  four

Finder's fee:  Rehana Virjee will receive a finder's fee of 62,667 finder's shares and 62,667 finder's warrants that are exercisable into common shares at 25 cents per share for a 24-month period.
