Warrants:  1,233,333 share purchase warrants to purchase 1,233,333 shares

Warrant exercise price:  five cents for a three-year period

Placees:  five

Finders' fees:  Canaccord Genuity Corp. will receive $800 and 26,666 warrants that are exercisable at five cents per share for a three-year period. Dundee Goodman Private Wealth will receive $480 and 16,000 warrants that are exercisable at five cents per share for a three-year period.
