The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 3, 2018.

Number of shares:  8,333,333 shares

Purchase price:  six cents per share

Warrants:  4,166,667 share purchase warrants to purchase 4,166,667 shares

Warrant initial exercise price:  12 cents

Warrant term to expiry:  three years (The warrants are subject to an accelerated exercise provision in the event the company's shares trade at 20 cents or greater for 10 consecutive trading days.)

Number of placees:  23 placees

Insiders:  Mark Kolebaba, 1.5 million; Pacific Opportunity Capital Ltd. (Mark Brown), 362,333

Total pro group involvement:  1.75 million (five placees)

Finders' fees:  PI Financial Corp., $3,600 cash and 60,000 warrants (The finder's warrants have the same terms as the warrants of the private placement, with the same accelerated clause.); Haywood Securities Inc., $9,964.80 cash and 166,080 warrants (The finder's warrants have the same terms as the warrants of the private placement, with the same accelerated clause.)
