Number of shares:  17.6 million shares

Purchase price:  five cents per share

Warrants:  17.6 million share purchase warrants to purchase 17.6 million shares

Warrant initial exercise price:  eight cents

Warrant term to expiry:  two years

Number of placees:  27 placees

Insider:  Buddy Doyle, 400,000

Finders' fees:  Canaccord Genuity Corp., $8,400 cash and 168,000 warrants; Haywood Securities Inc., $2,800 cash

Finder's warrant initial exercise price:  eight cents

Finder's warrant term to expiry:  same terms as the warrant certificates
