The TSX Venture Exchange fell 8.63 points to 601.28 Thursday. Robert Munro's 10th capital pool shell, County Capital One Ltd. (CCAP: halted), has released the terms of its qualifying transaction and has filed a preliminary prospectus containing details about its target and its resulting issuer. For its QT, the shell is acquiring an Israeli Internet advertising software developer, Podium Advertising Technologies Ltd., doing business as Adcore. County Capital will roll back 1 for 4.5738, leaving it with five million shares issued, then issue 40,482,552 to Adcore's founder, chairman, chief executive officer and sole shareholder, Omri Brill.
Adcore was formed in 2006 by Mr. Brill, a computer programmer in Tel Aviv. It offers services to advertisers based on three in-house software programs: Adcore Views, Feeditor and Semdoc. Mr. Brill's Adcore uses its software programs to enable its customers (advertisers) to improve their on-line advertising campaigns and manage their on-line advertising budgets. Adcore frequently mentions that its software programs use artificial intelligence. Essentially, this means that the software programs process large volumes of data and then present recommendations or carry out actions based on those data.
