The TSX Venture Exchange fell 4.35 points to 615.21 Thursday. Alan Gertner has filed a preliminary prospectus to list his first capital pool shell, LL One Inc. The shell plans to sell a $375,000 to $420,000 initial public offering at 10 cents through Haywood Securities Inc.

Mr. Gertner, 34, holds 800,000 of the shell's 7.95 million escrow shares. LL One sold its escrow shares at five cents in November. Chief executive officer Gertner graduated from university in 2006. He then spent three years as a management consultant in New York with Oliver Wyman, mainly to financial services firms. Then from 2009 to 2015, Mr. Gertner worked at Google Inc., first at its head office in Mountain View, Calif., and later in Singapore. By the time he left Google, he was the head of on-line travel sales for the Asia-Pacific region.

In an article that he wrote for The Globe and Mail in 2016, Mr. Gertner shared with readers that he decided to leave Google after he realized he had "lost focus and felt unfulfilled." As is the wont of many young people who see themselves as trendsetters, he went "meditating for months," and then he finally managed to figure out what his three "passions" in life were: marijuana, coffee and fashion. In April, 2015, he and his father opened a coffee shop in Toronto called Tokyo Smoke, which also sold marijuana accessories (such as lighters and rolling papers) and clothing. Their goal was to turn Tokyo Smoke into a chain of marijuana retail stores, pending legislation that would make that possible.
