The TSX Venture Exchange gained a fraction to 623.95 Tuesday. Lucas Birdsall's first capital pool shell, BMGB Capital Corp. (BMGB: halted), plans to acquire two Vancouver companies for its qualifying transaction: Hot Tomali Communications Inc. and Cientis Technologies Inc. These are separate businesses, but they have the same chief executive officer, Thomas Stringham, a marketing man in Vancouver. The shell, which has 4.5 million shares issued, will issue a combined 16 million shares to the owners of its two targets. As a condition for closing the QT, the shell must also raise $1.5-million at 30 cents.

Hot Tomali is a marketing agency that was founded in 1998. Its customers have included Telus, 7-Eleven, Chevron, Mini (the car), Electronic Arts, Purdys Chocolatier, Big White Ski Resort, the City of Vancouver, Fraser Health Authority and Douglas College. Hot Tomali also develops apps, websites and software. It has a free app called Health Alerts, which notifies users of emergency announcements from sources such as HealthLinkBC, Public Health Agency of Canada and the World Health Organization. It also has real estate research and sales management software for both realtors and property buyers. Then there is a retail sales training software that has been used at 1,100 Best Buy stores.
