The TSX Venture Exchange gained 2.79 points to 707.25 Wednesday. There are two new qualifying transactions to discuss. One is a marijuana deal, and the other involves unmanned aerial vehicles (drones).

Steven Mintz's first capital pool shell, 22 Capital Corp. (LFC: halted), plans to acquire Trichome Financial Corp., a marijuana investment firm and a subsidiary of CannaRoyalty Corp. (CRZ: $7.20). The terms are not yet available, but the shell will roll back its 10.14 million shares.

Trichome has one investment so far, 180 Smoke, a Canadian retailer of vaping products. 180 Smoke sells its products on-line and in 15 stores in the Greater Toronto Area. It says its 15 stores are all profitable. It plans to open more stores across the country. To help it along, Trichome last month sold a $15-million private placement at $4.73.

CannaRoyalty, which owns 68.9 per cent of Trichome, is focusing on marijuana marketing and distribution in California. This is why its stock trades on the Canadian Securities Exchange (which is not too concerned about U.S. marijuana operations) rather than the TSX-V (which is staying away from potential U.S. federal law issues). CannaRoyalty is also listed on the OTCQX, where today it closed at $5.60 (U.S.).
