The TSX Venture Exchange fell 13.67 points to 804.39 Tuesday. Ron Schmeichel's halted capital pool shell, Mira VII Acquisition Corp. (MVA), has released the terms of its qualifying transaction, which is the acquisition of Goodfood Market Inc. The shell will roll back 1 for 22.2222, leaving it with 562,500 postconsolidated shares issued, then issue 47,127,685 postconsolidated shares to its target's shareholders.

Goodfood is a Montreal-based food delivery company. It has a website where users can look up recipes, then order a complete set of ingredients for any recipe they like. The ingredients come in a special box that keeps them fresh for a week after delivery. They also come in exact portions, depending on the number of people who will be eating the meal. Last month, Goodfood sold a $21.08-million private placement of subscription receipts at $2. According to Goodfood's report filed with the British Columbia Securities Commission, there were 161 secret placees, including nine "family, friends and business associates" who subscribed for a combined $309,000 worth of receipts. (The BCSC hides the names of private placees, who usually acquire shares at a discount to the market.) The resulting issuer will use the proceeds primarily for marketing and distribution.
