The TSX Venture Exchange fell 8.24 points to 836.73 Wednesday. Ted Geier and Karen Stewart's halted capital pool shell, Trusted Brand 2016 Inc. (HAH), plans to acquire 1367790 Alberta Ltd. and 2186774 Ontario Inc. for the shell's qualifying transaction. The numbered companies correspond to two businesses that offer services related to residential construction: Holmes Approved Homes, which certifies home builders, and Mike Holmes Inspections, which inspects houses. Both businesses are controlled by Mike Holmes, who is a television host for Canadian home renovation shows, including Holmes on Homes. This program aired on HGTV Canada from 2003 to 2008 and was set in Toronto. The shell, which has 3,962,900 shares issued, will issue 30 million shares to its targets' shareholders.

The two QT targets have been in operation for six years. In 2015, they lost a combined $53,301 on revenues of $2.42-million. In the nine months to Sept. 30, 2016, they earned $101,109 on revenues of $1.85-million. Both companies plan to expand their operations into the United States. As a condition for closing the QT, Trusted Brand must sell a $5-million private placement of 12.5 million shares at 40 cents. The resulting issuer will use part of the proceeds for the U.S. expansion. This resulting issuer will be called Holmes Trusted Services Inc.
