The TSX Venture Exchange gained 3.05 points to 819.28 Friday, ending the week up 9.66 points. Brad Docherty and Eli Abergel's suspended capital pool shell, Exito Energy II Inc. (EXI), has reduced the financing requirement in its qualifying transaction with Vancouver digital marketing firm Good Life Networks Inc. (doing business as Megacast). Megacast must sell a $3.5-million private placement (previously $4.5-million) of subscription receipts at 25 cents. The resulting issuer will use the proceeds for sales and marketing. To acquire Megacast, Exito will roll back 1 for 2, leaving it with four million postconsolidated shares issued, then issue 26,679,786 postconsolidated shares to its QT target's shareholders. Exito and Megacast expect to close the QT by April 28.
The founder, chairman and chief executive officer of Megacast is Jesse Dylan, also known as Michael Woodman. He is the host of an AM radio show called The Good Life Show, which airs on CISL 650 in Vancouver. He also hosts an FM radio show called The Good Life Revolution on Roundhouse Radio 98.3. Mr. Dylan discusses issues concerning health, fitness and well-being. He competes in triathlons. On closing of the QT, he will be the CEO and a director of the resulting issuer.
