The TSX Venture Exchange rallied 7.98 points to 728.13 Friday, but still ended the week down 7.09 points. Jessica Zhang's halted capital pool shell, CUP Capital Corp. (CPU), has released the terms of its qualifying transaction, which is the acquisition of GBLT German Battery & Lighting Technologies PLC. The shell, which has 1,734,650 shares issued, will issue 93.75 million shares to its target's shareholders.
GBLT designs and manufactures private-label batteries, chargers, solar panels and lights. Its products include AgfaPhoto batteries and chargers for cameras; Polaroid batteries for hearing aids; Polaroid mobile energy storage devices (the kind that you would take on a camping trip); Polaroid ceiling lights, wall lights and floodlights; and Maglite flashlights. In 2015, the company earned 190,020 euros on revenue of 28.75 million euros. As a condition for closing the QT, GBLT must complete a concurrent offering (in Europe) of shares at $1.15 or higher. It plans to sell up to $7.5-million worth of shares.
