The TSX Venture Exchange rose 7.94 points to 823.50 Tuesday. Michael Walsh's halted capital pool shell, Black Lion Capital Corp. (BLC), plans to acquire Thomson Power Inc. for its qualifying transaction. The shell, which has 12.52 million issued shares, will issue up to 27 million shares to Thomson Power's shareholders.

The target is a four-year-old company with offices in Vancouver and in San Jose, Calif. It sells a power management system for buses, vans and trucks that are converting from diesel power to electric power or to a hybrid. Thomson Power's system includes software, a controller and drivetrain components. In February, 2016, it won a contract from Wilson's Transportation Ltd. to convert double-decker diesel-engine buses into zero-emission battery electric buses. Wilson's is a charter bus company in Victoria, B.C. Thomson Power will convert two buses first, in a pilot program. When Black Lion submits a QT filing statement, we should find out whether Thomson's operations are profitable.
