The TSX Venture Exchange gained 4.40 points to 707.25 Tuesday. Two capital pool shells have announced their qualifying transaction plans. First, Timothy McCunn's Mercal Capital Corp. (MUL) is acquiring Folia Biotech Inc., a pharmaceutical researcher in Quebec City. Second, Richard Silas's Crest Petroleum Corp. (CTP) is acquiring GFG Resources Inc., which is in the process of acquiring the Rattlesnake gold project in Wyoming. Both shells are halted and will remain so, pending their submission of QT documents to the exchange.

Mr. McCunn's Mercal Capital will roll back 1 for 5, leaving it with 1.54 million postconsolidated shares issued, then issue 10.78 million postconsolidated shares to Folia's shareholders. The target is developing a product that will supposedly enhance the effectiveness of existing vaccines against infectious diseases. Its current focus is on vaccines against influenza and typhoid fever. Folia's biotechnology involves extracting a protein from a plant virus (the papaya mosaic virus). Folia claims the protein can improve a person's immune response. Folia also hopes its research will eventually lead to a therapy for cancer.
