The TSX Venture Exchange slipped 1.57 points to 701.02 Tuesday. Chris Carmichael's halted NEX shell, Cardinal Capital Partners Inc. (CCP), plans to acquire Minotaur Atlantic Exploration Ltd., a copper and gold explorer in Nova Scotia. Cardinal Capital will issue 4,783,289 resulting issuer shares to the holders of its 9,566,579 shares (a ratio of 1 for 2). It will also issue 36,143,680 resulting issuer shares to Minotaur Atlantic's shareholders.
Minotaur Atlantic was spun out of Nova Scotia copper and gold explorer Cogonov Inc. last month. Its main property is Copper Lake, where it plans to conduct a trench sampling program this year to identify targets for phase II drilling. It has another property, Barneys River, where it plans to perform groundwork this year. As a condition of its acquisition by Cardinal Capital, Minotaur Atlantic must raise at least $750,000, most likely to finance exploration by the resulting issuer.
