The TSX Venture Exchange added 1.05 points to 578.58 Wednesday. Paul Rosen and Lorne Gertner have filed a preliminary prospectus for a new capital pool shell, RG One Corp. M Partners Inc., a brokerage firm in Toronto, will sell the shell's initial public offering of between 3.6 million and 10 million shares at 10 cents. This is the second time Mr. Rosen and Mr. Gertner have filed a preliminary prospectus for a capital pool shell in the past year. Last December, they planned to list CPC RG Capital One Inc., with M Partners set to sell the IPO, but that prospectus was subsequently withdrawn. The new shell, RG One, has the same directors and mostly the same shareholders with similar positions.

RG One has already sold 3.1 million escrow shares at five cents and 2.05 million shares, which are not in escrow, at 10 cents. Three of the shell's directors, Mr. Rosen, Mr. Gertner and Jim Boyle, each own 500,000 escrow shares. Mr. Rosen, the R of RG One, and Mr. Gertner, the G, are the founders of PharmaCan Capital Corp. (MJN: $0.375), an investment company focused on licensed medical marijuana producers. PharmaCan went public last December through Searchtech Ventures Inc., another M Partners capital pool shell, but so far the deal has been a disappointment for the shell's shareholders. Searchtech, which went public with a 10-cent IPO in July, 2014, rolled back 1:7 and then launched PharmaCan. The stock opened promisingly enough at $1, but after one month it fell below 70 cents, the breakeven price for Searchtech IPO shareholders (after adjusting for the rollback), and it has continued to decline. PharmaCan's purpose is to invest in Canadian medical marijuana producers. So far, Mr. Rosen and Mr. Gertner have assembled a portfolio of interests in eight such companies, of which five have the coveted MMPR licence granted from Health Canada. They are AbCann Medicinals Inc., The Hydropothecary Corp., In the Zone Produce Ltd., the Peace Naturals Project Inc. and Whistler Medical Marijuana Co.
