The TSX Venture Exchange added 3.64 points to 674.20 Tuesday. Bruno Gasbarro's shell, Scavo Resources Inc. (SCV), plans to acquire Tracy Wattie's Brabeia Inc., a marketing company in White Rock, for up to 25.8 million shares.

Scavo will issue 2.58 million shares to the shareholders of Brabeia when the deal closes, with the remaining 23.22 million shares held in escrow, to be released in stages providing Brabeia is able to generate up to revenue of $6-million.

Ms. Wattie, who until recently was a co-owner and manager of a small White Rock law firm, founded Brabeia in 2013. Her company creates, promotes and manages contests and sweepstakes. It also offers social media marketing and web design. The company is managing at least nine contests at the moment, including a chance to win a $50 gift card for Starbucks, a $40 gift card for Petro-Canada, and a $15 gift card for bon appetit. Ms. Wattie is currently in San Diego looking for more customers at the Social Media Marketing World Conference, which starts tomorrow and goes on for three days. The cost to attend is $1,497 (U.S.) a pop. Scavo has lent Brabeia $100,000 so that it can hire an accounting firm before going public, and also so Ms. Wattie can attend the San Diego conference.
