The TSX Venture Exchange fell 5.39 points to 701.99 Friday, ending the week down 39.88 points. Lawrence Ho's halted capital pool shell, Alpha Peak Leisure Inc. (AAP), has filed an information circular detailing its plan to acquire Total Wonder Enterprises Ltd. as its qualifying transaction. The target operates the Swallows' Gully scenic tourism destination at the Gonga Mountain in Sichuan province.

Alpha Peak will issue 45,356,146 shares to the shareholders of Total Wonder, wealthy Hong Kong investors all. CN Lifestyle Ltd., a Hong Kong company controlled by brothers Bob Hot-Hoi Chong and Charles Hok-Hei Chong, will become the largest shareholder with 25,106,747 shares. The Chong brothers are managing directors of Chungnam Corp. Ltd., a conglomerate that employs more than 10,000. The brothers will both join the board of Alpha, with Bob serving as chairman. The second-largest shareholder will be Peter Kai-Sing So, who will receive 10,361,352. Mr. So, 69, owns a high-volume bag manufacturing company -- computer bags, cosmetic bags, backpacks, briefcases, purses etc. -- in Shenzhen, China. His children, Jackson and Linda So, are the only two shareholders of Merit Sign Holding Ltd., which will receive 3,672,378 shares of Alpha Peak. As well, Mr. So's son-in-law, and Linda's husband, Kenneth Poon, will receive 1,799,465 shares.
