Amendments to the bylaws of the corporation
By resolution by ballot, shareholders did not approve the amendments to the bylaws of the corporation to provide for advance provisions. As a note to shareholders, the company proposed the amendments to the bylaws to provide for advance notice provisions as it is of the view that allowing reasonable time for shareholders to consider proposed director nominees is good governance. However, the provisions did not conform in minor ways with the forms recently suggested by proxy advisory firms. The company plans to make conforming minor amendments to these provisions and adopt amended bylaws. The results of the ballot were as set out in the attached bylaw amendment voting results table.
