Eagle Rock Energy Partners, L.P. Announces Filing of Definitive Proxy Materials and Revised Meeting Date for Special Meeting

HOUSTON, Sept. 03, 2015 (GLOBE NEWSWIRE) -- Eagle Rock Energy Partners, L.P. (“Eagle Rock”) (NASDAQ:EROC) announced today it has filed a definitive proxy statement in connection with the special meeting of unitholders to be held for purposes of voting on the proposed merger with Vanguard Natural Resources (“Vanguard”) (NASDAQ:VNR) and intends to commence mailing definitive proxy materials on or about September 4, 2015. This action follows completion of the Securities and Exchange Commission (the “SEC”) review process earlier today.

In addition, Eagle Rock announced today it has established a revised meeting date for the special meeting. At the special meeting, which will be held on October 5, 2015 at 10:00 a.m. Central Time at 1415 Louisiana Street, Suite 3900, Houston, Texas 77002, Eagle Rock unitholders will meet for the following purposes: (i) to consider and vote on the adoption of the previously announced Agreement and Plan of Merger, dated as of May 21, 2015, by and among Eagle Rock, Vanguard, and various of their respective affiliates (the “Merger Agreement”) and (ii) to consider and vote on an advisory, non-binding basis to approve the merger-related compensation payments that, pursuant to pre-existing contractual arrangements, may become payable to Eagle Rock’s named executive officers in connection with the merger.

Eagle Rock unitholders of record at the close of business on August 6, 2015 will be entitled to receive notice of the special meeting and to vote at the special meeting.

As previously announced on May 21, 2015, Eagle Rock and Vanguard signed a definitive Merger Agreement pursuant to which Vanguard will acquire Eagle Rock in a unit for unit exchange. The transaction is subject to customary closing conditions, including the approval of Eagle Rock and Vanguard unitholders, and is expected to close on October 8, 2015.
