Acquisition of Arbitron, Inc. by Nielsen Holdings N.V. May Not Be in Arbitron's Shareholders' Best Interests

On December 18, 2012, Arbitron and Nielsen announced they had entered into a definitive agreement under which Nielsen will acquire Arbitron through an all cash tender offer that values the company at $1.26 billion. Arbitron shareholders will receive $48 per share.

The Board of Directors' Actions May Prevent Arbitron Shareholders from Receiving the Maximum Value for Their Stock
