Under the terms of the transaction, Towers' stockholders will only receive 2.6490 Willis shares for each Towers' share of common stock they own, in addition to $4.87 in cash.  The total value of the transaction would be about $125.13 per Tower share.  However, at least one analyst has set a price target of $157.00 per share of Tower.  Towers' recent trading history shows that the Towers has traded and does trade at higher values than the deal consideration.

The investigation concerns whether the Board of Directors of Towers breached their fiduciary duty to stockholders by failing to adequately shop Towers before agreeing to enter into this transaction, attaching conditions to the merger than make it more difficult for competing offers to emerge, and whether Willis is underpaying for Towers shares.
