According to the complaint, on November 16, 2015, ERBA announced it would delay filing of its Quarterly Report on Form 10-Q for the quarter ended September 30, 2015 citing its continued “efforts to improve the effectiveness of its internal control over financial reporting.” Then on November 20, 2015, the Company announced that the Audit Committee of the Board of Directors had determined that the financial statements for the years ended December 31, 2013 and 2014 and for each of the interim periods ended March 31, 2015 and June 30, 2015 should no longer be relied upon.
