According to the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants issued false and misleading statements and/or omitted adverse facts regarding the true value of its Microelectronics business. According to the complaint, IBM failed to record an impairment in the value of the Microelectronics business in conformity with applicable accounting standards, which caused its earnings during the class period to be materially inflated and rendered IBM’s 2014 earnings guidance materially false and misleading. Immediately following this news, IBM stock dropped significantly.
