agreement with OptumRx. Under the terms of the merger agreement, OptumRx
will acquire all of Catamaran’s outstanding common stock for $61.50 per
share in cash.
The investigation concerns whether Catamaran’s board failed to satisfy
their duties to the Company’s shareholders, including whether the board
adequately pursued alternatives to the acquisition and whether the board
obtained the best price possible for the Company’s shares of common

deal price represents adequate consideration, especially given
