investigation into whether the board members of UTi Worldwide Inc.
(NASDAQ: UTIW) breached their fiduciary duties in connection with the
proposed sale of the Company to Denmark based DSV.

On October 9, 2015, UTi announced it had signed a definitive merger
agreement with DSV. Under the terms of the agreement, DSV will acquire
UTi for $7.10 per share in cash, or total equity purchase price of $1.35
billion.
The investigation concerns whether UTi’s board failed to satisfy its
duties to the Company shareholders, including whether the board
adequately pursued alternatives to the acquisition and whether the board
obtained the best price possible for UTi’s shares of common stock. Nationally
recognized Johnson & Weaver is investigating whether the proposed deal
price represents adequate consideration, especially since one Wall
Street analyst has a $14.00 price target on the stock which is more than
the $7.10 offer price. Earlier this year the stock traded over $14.00
per share.
